1. Scope
These Terms and Conditions (T&Cs) govern participation in the partner program of Convayla (Voice-Chat-Agent SaaS, operated by Horst Christian Wagner, hereinafter referred to as Convayla) – https://partners.voice-chat-agent.com. They apply to all marketing partners who register via the partner sign-up page https://partners.voice-chat-agent.com/auth/register and participate in the program.
2. Participation in the Partner Program
- Eligible to participate are natural and legal persons who operate their own business or work as freelancers.
- Registration takes place via the online form at https://partners.voice-chat-agent.com/auth/register on the Convayla website.
- Convayla reserves the right to reject applications without stating reasons.
3. Partner Links and Tracking
- Each partner will receive an individual tracking link and/or coupon codes after approval.
- Commissions are paid exclusively for new customer acquisitions generated through these links or codes.
- Manipulation of tracking or artificial generation of clicks/sign-ups is prohibited.
4. Commissions
- The amount of commission is determined by the conditions published at the time the customer contract is concluded.
- Commission claims arise only if the referred customer successfully signs up for a valid Convayla account with a corresponding plan/tier and payments are received.
- Refunds, cancellations, or chargebacks result in forfeiture of the commission.
5. Billing and Payment
- The billing period is each calendar month.
- Payments are made after the end of the following month, provided the minimum payout threshold of €50 has been reached.
- Payouts are made by bank transfer or through the payment service offered in the partner dashboard.
- All commissions are understood as net amounts; the partner is responsible for proper taxation. The respective credit notes can be downloaded by the partner in the partner area.
6. Obligations of the Partner
- Advertising must be conducted in a professional manner. Misleading, aggressive, or unlawful methods are prohibited.
- The partner may not promote Convayla in connection with spam, illegal content, or deceptive promises.
- Trademark rights, logos, and texts may only be used in the form provided by Convayla.
- The partner is solely responsible for their marketing activities and indemnifies Convayla against any claims by third parties.
7. Term and Termination
- The agreement is concluded for an indefinite period and may be terminated by either party with 14 days' written notice.
- In case of violations of these T&Cs, Convayla is entitled to terminate the agreement without notice and withhold outstanding commission claims.
8. Changes to the Partner Program
Convayla reserves the right to change conditions, commission rates, or these T&Cs with effect for the future. Changes will be announced at least 14 days before they take effect, either by e-mail or in the partner dashboard.
9. Liability
- Convayla is not liable for failures of the tracking system unless caused intentionally or through gross negligence.
- Liability for lost profits or consequential damages is excluded.
10. Final Provisions
- German law applies.
- The place of jurisdiction for all disputes, insofar as legally permissible, is Augsburg.
- Should any provision prove invalid, the validity of the remaining provisions shall remain unaffected.
